Governance    
 

 

The general meeting of the members is the supreme agency of the Association and it has, inter alia, the power to: amend the statutes by a majority of two-thirds of the votes present; elect board members and terminate their mandate; elect the auditors; approve the accounts; determine the annual subscriptions to be paid by members; and decide on the termination of the Association.

 


ICMA's Board
 

The board performs a supervisory role and is not involved with the day-to-day management of the Association. The board consists of sixteen members, one of which is the Chief Executive. Board members do not receive compensation from the Association (other than the Chief Executive).

 

The board has established the following committees assisting the board in performing its supervisory role: the ICMA Audit, Compliance and Governance Committee, which oversees compliance by the Association with all laws, rules and regulations applicable to it in order to enable the board to conduct appropriate supervision of the Association’s regulatory affairs and for overseeing, controlling and reporting on the budgetary process and financial control of the Association; the ICMA Oversight Committee, which supervises the ICMA Executive Committee and any committee established by the executive committee; and the ICMA Compensation Committee, which determines the compensation of the Association’s senior executives.

 

The Chief Executive, Martin Scheck, is ICMA’s senior executive officer. He is an ex officio member of the board, chairs the Executive Committee and has overall responsibility for the Association’s executive management. The Chief Executive is appointed by, and reports to, the board.

ICMA's President, René Karsenti, represents ICMA’s interests in its interaction with governments, regulatory bodies, other trade associations and international organisations.

The ICMA Executive Committee
 

The ICMA Executive Committee has responsibility for the executive management and administration of the Association. The executive committee reports to the board through the Chief Executive.

 

The Association has a number of committees comprised of experienced market professionals supporting ICMA in its activities.

 

The task of the ICMA Nomination Committee is to nominate candidates for elections to the board of ICMA and to appoint an individual to the board in the case of an intermediate vacancy.

 

The ICMA Membership Committee determines the eligibility of institutions applying for membership of the Association. The ultimate decision to accept an applicant as a member rests with the board of ICMA.

 

The task of the ICMA Education Committee is to oversee the development and strategy of ICMA’s executive education courses.

 

The market practice and regulatory policy committees make an important contribution to ICMA’s activities in this area.
